The shareholders' meeting approved the proposal put forward by the Executive Board and the Supervisory Board and resolved to pay a dividend of €0.30 per share for the 2025 fiscal year (previous year: €0.27).

In total, 2,885,500.20 euros (previous year: 2,596,950.18 euros) will be distributed from Masterflex SE’s retained earnings. The remaining amount of €28,884,973.27 will be carried forward to new account. The Annual General Meeting expressed its confidence in the members of the Executive Board and the Supervisory Board of Masterflex SE for the 2025 fiscal year and approved all items on the agenda by a large majority. In his speech, CEO Dr. Andreas Bastin highlighted in particular the strategic progress made as part of the HERO@ZERO future strategy. A key milestone in this regard is the largest engineering and framework contract in the history of the Masterflex Group to date, which was concluded last year. The series ramp-up is planned for the end of 2026, with full ramp-up scheduled for 2027. With this project, the company expects recurring annual revenues in the mid-single-digit millions and, at the same time, strengthens its technological position in the strategic target industry groups “Life” and “Tech.” In addition, Dr. Bastin highlighted the expansion of cleanroom capacities in the Medical Technology division. By expanding its controlled cleanroom space by approximately 20 percent by the end of 2026, Masterflex is responding to the continued high demand from the medical and laboratory technology sectors and creating additional conditions for further growth in this attractive future market. Another strategic focus was on international expansion in the aviation business. With the laying of the cornerstone for the new plant in Morocco, the Masterflex Group has laid the foundation for the further expansion of its activities in the aviation industry. Through its subsidiary Matzen & Timm, a modern production facility for highly specialized hose and connection systems is being built in the Midparc Free Trade Zone near Casablanca. Dr. Andreas Bastin, CEO of the Masterflex Group: “2025 was a year of significant strategic progress for the Masterflex Group. Despite economic headwinds in some customer industries, we achieved new sales and earnings records while simultaneously laying the groundwork for further profitable growth. With the largest order in the company’s history, the expansion of our cleanroom capacities, and the groundbreaking of our new plant in Morocco, we are strategically strengthening our position in attractive future markets. Our future strategy, HERO@ZERO, is opening up increasingly concrete economic prospects. We are making targeted investments in future markets, technological innovations, and sustainable solutions, thereby strengthening our position as a leading international specialist in sophisticated hose and connection systems.” Voter turnout was 66.25%. The Masterflex Group consistently uses recyclable Cradle to Cradle hose solutions in its day-to-day production. At the Group’s locations, including Halberstadt, Gelsenkirchen, and Düsseldorf, the hoses are used, for example, for conveying granules. The solutions are made of a biodegradable polymer and are designed to be fully recyclable.

Hose Leadership and Innovation for the Circular Economy “The Masterflex Group is well on its way to an eco-effective future. We still need plastics, but the right ones. This makes it all the more gratifying to use hose solutions developed according to the Cradle to Cradle principles at our own locations. When we have such confidence in our own products, it sends a strong and important signal to the industry,” says CEO Andreas Bastin. In order to make it onto the list of world market leaders, companies must fulfill a number of strict criteria: A global market leader must be number one or two worldwide in terms of turnover in at least one relevant market segment At least 50 percent of the annual turnover - lower limit: 50 million euros - must be generated abroad and on three continents. The owners must be based at least in part in Germany. The Masterflex Group is once again one of these "World Market Leader Champions". The complete list of all world market leaders is published every year in the business magazine "WirtschaftsWoche". To the ranking

The company plans to invest around MAD 50 million over the next five years to build a production facility and offices covering around 4,000 square metres, and to create approximately 77 direct jobs in the coming years. A further 4,000 square metres are reserved for future expansion. The plant will specialise in manufacturing technical hoses and connection systems made of high-performance elastomers and modern textiles, exclusively for aerospace applications, in close cooperation with the group's German locations. The ceremony was presided over by Ryad Mezzour, Morocco's Minister of Industry and Trade, and was attended by Hamid Benbrahim El Andaloussi, President of Midparc, as well as representatives from AMDIE, GIMAS, German chamber of commerce, government institutions, industry partners and the wider aerospace community. 'The new company will be certified accordingly, as are all our sites. Product approval, especially for the aerospace sector, will continue to be carried out in close cooperation with our customers. Thanks to the support of the Ministry of Industry and our institutional partners, this project marks a new chapter in the cooperation between Morocco and Germany in the field of aerospace,' said Peter Bremer, Managing Director of Matzen & Timm GmbH. "Morocco offers an exemplary industrial environment, and we are proud to build our future here," added Amine Iraoui, General Manager of Masterduct Morocco. Provided that everything continues to go according to plan, customers will be able to receive fittings, bellows and hoses that are 'designed in Germany and made in Morocco' from Q4 2026 onwards. Full capacity is expected to be reached by 2030. To the website of Masterduct Morocco

The award-winning family businesses all have strong balance sheets, solid financial figures and stable economic development. The award as one of the strongest family businesses in 2025 confirms our financial strength, reliability and future viability - and makes us proud to be one of the leading family businesses in Germany. Family businesses shape the country more than many people realize. A study by the Institute for SME Research states that over 90 percent of all German companies are family-run. They also provide around 60 percent of jobs subject to social security contributions and train more than half of all apprentices. Without them, Germany as a business location would hardly be conceivable. Click here for the ranking

The Masterflex Group is to open a new plant in the MIDPARC free trade zone near Casablanca in Morocco. With an investment of almost three million euros over the next five years, the company plans to build a production facility and offices on an area of around 4,000 square meters as a first step and to create at least 65 jobs in the coming years. The Masterflex Group, headquartered in Gelsenkirchen, specializes in hoses and hose systems. Under the Matzen & Timm brand, the Norderstedt (Germany) and Plana (Czech Republic) sites manufacture special hoses, bellows and molded parts from high-quality synthetic rubber materials for aviation customers from all over the world. “The global aviation industry is currently experiencing an extraordinary increase in demand for air travel and is reaching record highs both nationally and internationally,” says CEO Dr. Andreas Bastin. The demand for aviation technology therefore knows almost no bounds. In order to meet this demand - also from Masterflex customers - and to remain competitive in the future, the Masterflex Group decided some time ago to press ahead with the expansion of further capacities. This was no longer possible or economically viable at either of the two aviation locations. Morocco has become an attractive location for aviation companies due to its investment-friendly climate and its advantageous location close to Europe. “The good training, the high quality of the work, the strict adherence to processes and quality standards, but also the geographical proximity and the overall costs - these are all factors that convinced us to choose Morocco as another production location after extensive international research,” says Bastin. Morocco is an up-and-coming country, particularly in the automotive and aerospace sectors. A major investment program has been launched from which the Masterflex Group will also benefit. The new subsidiary will be based in Casablanca and will be part of Matzen & Timm, the specialist for aerospace applications. “Like all our locations, the new company will be certified accordingly, and the release of products specifically for the aerospace sector will continue to take place in close cooperation with our customers,” says Peter Bremer, Managing Director of Matzen & Timm. If everything continues to go according to plan, customers will be able to be supplied with molded parts, bellows and hoses “designed in Germany, made in Morocco” from 2026.
